Terms of Use

The following Terms and Conditions ("Terms") constitute a legally binding agreement between Sherpo ("we," "us," or "our") and the end customer ("you" or "your") regarding the use of this platform and its associated services, content, and functionality. By purchasing, accessing, or using our digital content or services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

Sherpo reserves the right to modify or update the platform, policies, and these Terms at any time without prior notice. If you disagree with any part of these Terms, you must immediately discontinue use of the platform and refrain from purchasing content. Continued use of the platform after any modifications constitutes your acceptance of the revised Terms. Significant updates may be communicated directly via email or through prominent notice on the platform.

Description of services

Through this platform, you can purchase and access digital content ("Service," "Services," "Product," or "Products"). These may include, but are not limited to, online courses, downloadable files, PDFs, videos, audio content, tutorials, and other digital educational or informational materials.

Refund policy

If you decide within 14 days (336 hours) of purchasing non-consumable content that it does not meet your expectations, you may request a refund by contacting us exclusively at support@sherpo.io. Refunds will be processed for the net amount paid after deducting any payment processing fees or other applicable charges.

The refund policy applies only to non-consumable content. Refunds are not available for:

Downloadable files, such as PDFs, videos, or audio content, including files sent by email;
Any tips, donations, or contributions to fundraising campaigns;
Any content explicitly marked as consumable at the time of purchase.

Additionally, refunds will not be granted to users who:

Have used or accessed more than 25% of the content;
Have downloaded any files or consumable materials associated with the original non-consumable content;
Violate these Terms.

Purchase policy

When purchasing a Product, you represent and warrant that:

All credit information provided is truthful and accurate.
You are authorized to use the payment method provided.
You will honor all charges incurred at the published prices, including applicable taxes.
If the initial payment method is disputed or declined, you remain responsible for the charges incurred, including fees resulting from payment disputes.

Registration and restricted access

Access to certain areas of the platform may be restricted. Sherpo reserves the right to limit or modify access at its sole discretion. Restricted areas may require registration to create a user account ("Account"), which typically includes a username and password.

By creating an Account, you agree to:

Keep your login credentials confidential.
Notify Sherpo immediately at support@sherpo.io if you suspect your account has been compromised.
Be at least 18 years of age and capable of consenting to these Terms.

Providing inaccurate or outdated information, or failing to comply with these Terms, may result in the termination of your Account without refund. Sherpo retains the right to disable your Account at its discretion.

License to use Products

All Products available for purchase are licensed exclusively for your personal, non-commercial use. Unless explicitly stated otherwise, you receive a limited, non-exclusive, non-transferable, revocable license to access and use the purchased content.

You may not:

Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Products for commercial purposes without explicit written permission.
Share, distribute, or make the content available to third parties.
Modify, create derivative works, reverse engineer, or decompile the Products.
Remove or alter any copyright, trademark, or other proprietary notices.

Intellectual property rights

Unless otherwise stated, Sherpo and/or its licensors own all intellectual property rights to the platform and all content provided therein, including but not limited to text, graphics, logos, images, videos, audio files, software, and data compilations.

All content is protected by copyright, trademark, and other applicable laws. You acknowledge that the Products and platform content are owned by Sherpo and that you do not acquire any ownership rights by purchasing or accessing the content.

Any unauthorized use of the intellectual property may result in legal action and termination of your access to the platform.

Use of the platform

Unless otherwise stated, Sherpo owns the intellectual property and rights to all materials on the platform and associated Products.

You agree to use the platform only for lawful purposes and in accordance with these Terms. You may not:

Republish, redistribute, or broadcast platform content without explicit written permission.
Sell, rent, lease, or sub-license any platform content or Products.
Reproduce or duplicate content for commercial purposes or public display.
Use the platform in any way that violates applicable local, national, or international law.
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the platform.
Use any automated system (including robots, scrapers, or data mining tools) to access the platform.
Attempt to gain unauthorized access to any portion of the platform or related systems.
Impersonate or misrepresent your affiliation with any person or entity.
Upload or transmit viruses, malware, or any other malicious code.
Interfere with or disrupt the integrity or performance of the platform.

User responsibilities

By using this platform, you agree to:

Provide accurate, current, and complete information during registration and purchase.
Maintain the security and confidentiality of your account credentials.
Notify us immediately of any unauthorized use of your account.
Accept responsibility for all activities that occur under your account.
Comply with all applicable laws and regulations.
Respect the intellectual property rights of Sherpo and third parties.
Use the platform and Products only for their intended purpose.

You are solely responsible for your conduct and any data, text, files, information, or other materials you transmit or store through the platform.

Comments policy

Comments violating the following rules will be removed:

Harassment or abuse directed at others.
Spam or hate speech.
Defamatory statements about third parties.
Content infringing on the legal rights of others.

Sherpo reserves sole discretion to determine whether a comment violates this policy.

Termination

We reserve the right to suspend or terminate your access to the platform and your account at any time, with or without notice, for any reason, including but not limited to:

Violation of these Terms.
Fraudulent or illegal activity.
Providing false or misleading information.
Abuse of the platform or its users.
Non-payment or disputed charges.

Upon termination:

Your right to access and use the platform will immediately cease.
You will no longer have access to purchased content (except as required by applicable law).
No refunds will be provided for terminated accounts, except as required by law.
Any provisions of these Terms that by their nature should survive termination will remain in effect.

You may terminate your account at any time by contacting us at support@sherpo.io. Termination does not relieve you of any obligations incurred prior to termination.

Warranties and disclaimers

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Sherpo disclaims all warranties, including but not limited to:

Warranties of merchantability, fitness for a particular purpose, and non-infringement.
Any warranties arising from course of dealing, usage, or trade practice.
Any warranties that the platform will be uninterrupted, secure, or error-free.
Any warranties regarding the accuracy, reliability, or completeness of content.

We do not warrant that:

The platform will meet your specific requirements or expectations.
The quality of any Products will meet your expectations.
Any errors in the platform or Products will be corrected.
The platform will be compatible with all devices or systems.

You acknowledge that your use of the platform and Products is at your sole risk.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Sherpo, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to:
- Loss of profits, revenue, data, or business opportunities.
- Loss of goodwill or reputation.
- Cost of procurement of substitute goods or services.
- Any other intangible losses.
ANY DIRECT DAMAGES EXCEEDING THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

This limitation applies regardless of the legal theory on which the claim is based, including:

Breach of contract.
Breach of warranty.
Negligence.
Strict liability.
Any other tort.

This limitation applies even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Sherpo, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

Your violation of these Terms.
Your use or misuse of the platform or Products.
Your violation of any rights of another person or entity.
Your violation of any applicable laws or regulations.
Any content or information you provide or transmit through the platform.
Your negligent or willful misconduct.

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

Dispute resolution and governing law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Sherpo is registered or operates, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved as follows:

Informal Resolution: Before initiating any formal proceeding, you agree to first contact us at support@sherpo.io to attempt to resolve the dispute informally.
Arbitration: If the dispute cannot be resolved informally within 30 days, either party may initiate binding arbitration in accordance with the rules of the applicable arbitration authority in our jurisdiction.
Class Action Waiver: You agree that any proceedings to resolve disputes will be conducted on an individual basis and not as a class, consolidated, or representative action.
Jurisdiction: For any disputes not subject to arbitration, you agree to submit to the personal and exclusive jurisdiction of the courts located within the jurisdiction where Sherpo operates.

Force majeure

Sherpo shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to:

Acts of God (natural disasters, severe weather, earthquakes, floods).
War, terrorism, or civil unrest.
Government actions, laws, or regulations.
Strikes, labor disputes, or supply chain disruptions.
Internet or telecommunications failures.
Cyberattacks, hacking, or security breaches.
Pandemics or public health emergencies.

During any such event, our obligations shall be suspended for the duration of the force majeure event.

Privacy policy

Your use of the platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the platform, you consent to the practices described in our Privacy Policy. Please review our Privacy Policy to understand our data practices.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

Entire agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the platform, constitute the entire agreement between you and Sherpo concerning your use of the platform and supersede all prior or contemporaneous communications, agreements, and proposals, whether oral or written.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms at any time without notice to you. Any attempted transfer or assignment in violation of this section shall be null and void.
